For the purposes of these General Terms and Conditions, the User is the natural person, business entity, or other party who enters into the license agreement referred to in Section 1 with the Licensor.
1. Subject Matter and Formation of the Agreement
1.1.
These General Terms and Conditions (hereinafter: "Agreement") govern the Licensor's grant of a non-exclusive license to use the software known as "Show Me The Profit," including its modules (hereinafter: "Software"), to the User under the terms set forth herein, in exchange for the payment of the applicable fee.
1.2.
The User may initiate the agreement for the use of the Software described in Section 1.1 through the Licensor's website at https://showmetheprofit.com. After selecting the appropriate subscription plan and number of users on the Licensor's website and providing the required information, the User accepts the Licensor's offer to enter into the software license agreement by clicking the "Subscription" button. By clicking the "Subscription" button, the User acknowledges and agrees to be bound by the terms of this Agreement as provided. The agreement between the parties is formed upon payment of the applicable fee. Upon formation of the agreement, the User becomes entitled to use the Software as set forth herein.
1.3.
By accepting this Agreement, the User represents that their legal capacity and ability to enter into contracts is not restricted, that the information provided during the order process is accurate and complete. Prior to finalizing the order, the User is responsible for verifying that all information entered on the registration page is accurate and complete. The User may update registration information before finalizing the order on the registration page, and after placing the order through their user account. Fields marked with an asterisk on the registration page are required for the performance of the Agreement and for invoicing purposes.
1.4.
By accepting this Agreement, the User expressly consents to the Licensor commencing performance immediately upon formation of the agreement, which occurs upon payment of the fee.
1.5.
The parties acknowledge that the Licensor provides access to the Software by making it available on a server operated or leased by the Licensor, accessible exclusively online via the internet.
1.6.
The User acknowledges that an internet connection and a compatible web browser are required to use the Software. If the minimum technical requirements necessary for the Software's operation change, the Licensor shall notify the User by email or through a notice published within the Software's designated interface.
1.7.
By signing this Agreement, the User confirms that they have reviewed the Software and its modules described in Sections 1.1 and 1.2, as well as the related services, and have found no deficiencies.
1.8.
The User acknowledges that the Software is intended to facilitate internal financial planning and record-keeping, and that the use of the Software does not in itself guarantee profit or revenue growth. The User understands that the Software is not an invoicing or accounting program, does not guarantee the accuracy of VAT or other tax calculations, and may not be used to prepare, complete, or generate tax returns, official financial statements, balance sheets, or other regulatory filings, or to fulfill reporting or declaration obligations to any competent authority.
2. Term of the Agreement
2.1.
This Agreement is entered into for the definite term specified by the User in the order pursuant to Section 1.2, and shall automatically renew for successive terms as long as the User continues to pay the applicable fee for each subsequent period.
2.2.
The Agreement may be terminated prior to the expiration of the definite term or any automatically renewed term only in accordance with Section 6 or by mutual written agreement of the parties.
2.3.
If the Licensor provides the User with a so-called "free trial" for a definite period of up to 14 calendar days, such trial shall expire at the end of the specified period, is non-renewable, and may not be requested again. If the User wishes to continue using the Software after the expiration of the free trial, the agreement shall be entered into pursuant to Section 1 of this Agreement. The provision and conditions of any free trial are at the Licensor's sole discretion; the Licensor assumes no obligation with respect to the free trial and expressly disclaims all liability for damages arising from the use or unavailability of the free trial.
2.4.
Cancellation of Subscription: The User may cancel their subscription at any time from within their account through the Profile menu in the Software. The cancellation takes effect at the end of the current subscription period; until then, access remains available and no refund will be issued for fees already paid.
3. Licensor's Rights and Obligations
3.1. License Grant
By this Agreement, the Licensor grants the User a non-exclusive license to use the Software and the modules described in Section 1 for the definite period selected and paid for by the User. The Licensor shall make the Software described in Section 1 available to the User as set forth in Section 3.2. The license grant extends solely to the use of the Software to the extent ordered and paid for by the User, and does not include any other use of the Software, in particular the rights to reproduce, distribute, or create derivative works.
3.2. Access
3.2.1.
Following the formation of this Agreement and payment of the fee, the Licensor shall provide the User with access to the Software via an online interface accessible over the internet. Access to the Software is provided using the email address and password entered by the User during registration. The password is available exclusively to the User; if lost or otherwise inaccessible, access may be restored using the "Forgot password" function. Access shall be deemed provided even if the User is unable to access or use the Software due to reasons attributable to the User or to circumstances not arising on the Licensor's side, including, but not limited to, incorrect email address or password entered by the User, or the User's failure to meet the minimum hardware and software requirements specified in the Agreement.
3.2.2.
The Licensor shall ensure continuous access to the User from the time the Software is made available pursuant to Section 3.2.1 until the termination of the Agreement. Access is provided via a server operated or leased by the Licensor, through which the User may use the Software over an internet connection. A period of unavailability not exceeding 72 consecutive hours shall not constitute a breach of the obligation to provide continuous access, particularly where such unavailability is due to server maintenance or error correction. The Licensor shall notify the User if the Software is expected to be unavailable for a foreseeable period. Such notice shall include the anticipated start time and expected duration of the unavailability, to the extent known to the Licensor.
3.3. Support
The Licensor shall provide the User with email support as needed regarding the use of the Software, responding to questions related to the Software's functionality. The User may submit questions about the Software's operation to the Licensor's designated email address at any time. The Licensor undertakes to respond to questions submitted to the above address within 10 business days of receipt. If the submitted question does not contain sufficient information to provide a professional response, the Licensor shall request the necessary clarification or information from the User within the above deadline. In such case, the response period shall restart upon receipt of the User's clarifying information. Support may only be requested by the User from the email address used for registration with the Software.
3.4. Development and Updates
The Licensor has the sole right to decide on the development of the Software and the content of such development. The User may submit suggestions for development, which are not binding on the Licensor. The Licensor is entitled to modify the Software's interface, individual functions, and the manner of accessing them in the course of development. Updates developed by the Licensor become available to the User upon Software update. Only the Licensor is authorized to perform updates. The Licensor shall notify the User of the content of each update simultaneously with its implementation, and, where necessary, of how the update affects the use and functionality of the Software.
3.5. Data Storage, Processing, and Protection
The Licensor stores the data entered by the User in the Software on a server without accessing the content of such data. The Licensor ensures that data is stored on a server that adequately protects it against unauthorized access, alteration, transmission, disclosure, deletion, destruction, accidental loss or damage, and inaccessibility due to changes in applied technology, provided that the User performs regular backups of their data stored in the Software at intervals of at least once per week. The User undertakes to perform regular backups of data stored in the Software at intervals of at least once per week; in the absence of such backups, the Licensor assumes no liability for the User's data stored in the Software. The data backup required of the User is supported by a dedicated function within the Software.
3.6. Data Protection and Cookies
The Licensor processes the User's personal data in accordance with applicable data protection laws. Detailed information regarding the processing of personal data, the User's data protection rights, and the cookies used on the website is set out in the Privacy Policy, which is continuously available at https://showmetheprofit.com/privacy. By using the Software, the User accepts the terms of the Privacy Policy.
4. User's Rights and Obligations
4.1. Payment of Fees
The User shall pay the Licensor the fee specified in Section 5 by the applicable deadline in exchange for the right to use the Software.
4.2. Right to Use
Upon timely payment of the applicable fee(s) under this Agreement, the User is entitled to use the Software. The User may access and use the Software in the manner set forth in this Agreement, to the extent of the subscription ordered and paid for.
4.3. Intellectual Property
The User acknowledges that the copyright in the Software belongs to the Licensor and agrees to respect such copyright at all times. The parties agree that the User may not make copies of the Software. Upon termination of the Agreement, the Licensor shall, upon the User's request, provide the User with an electronic copy of the data stored in the Software that was previously backed up by the User in accordance with the Agreement. For the purposes of this section, the temporary storage of data on the User's computer (e.g., in memory) shall not constitute copying.
The User may transfer the right to use the Software granted under this Agreement to another person or entity only with the Licensor's prior written consent. The User is not permitted to reverse-compile, reverse-engineer, decompile, or otherwise attempt to derive the source code of the Software.
4.4. Access to Updates
During the term of this Agreement, the User is entitled to use any updates to the Software modules that they have ordered and paid for, as prepared by the Licensor. The User is not entitled to access updates prepared specifically for another user or group of users, or updates relating to modules for which the User does not hold a license. Only the Licensor is authorized to perform updates.
4.5. Data Security
The User is entitled and obligated to regularly back up their data to the extent required by their security needs. The User acknowledges that the security of their data depends on the frequency of backups, and that it is the User's responsibility to perform such backups. The Licensor assumes no liability for any damage suffered by the User resulting from the corruption or loss of their data.
4.6.
The User may not sublicense, assign, lease, or otherwise transfer the right to use the Software to any third party, whether for consideration or free of charge (except with the written consent required under Section 4.3).
5. Fees
5.1.
The User shall pay the Licensor a license fee for the right to use the Software. All price lists issued by the Licensor, whether in electronic or printed form, are for informational purposes only. The fee payable by the User and the payment frequency shall be determined by the fee and payment schedule displayed at the time of ordering and accepted by the User. The Licensor reserves the right to modify the fee. Any modification takes effect upon publication on the https://showmetheprofit.com website.
5.2.
The User shall pay the fee set out in Section 5.1 electronically at the time of contracting via the payment interface provided and displayed by the Licensor at the time of ordering (via Stripe), with the system at https://showmetheprofit.com redirecting the User to the selected payment interface. Payment via Stripe occurs following redirection to the Stripe website, where the User completes payment using Stripe's service. When paying via Stripe, the User enters the payment details directly into Stripe's system, which is not accessible to the Licensor. Payments via Stripe are processed automatically at the frequency and schedule selected by the User until the User cancels or modifies the arrangement. Each automatic payment results in the automatic renewal of the agreement between the User and the Licensor for the paid period. Any transaction costs incurred on the User's side in connection with the electronic payment service shall be borne by the User.
5.3.
The User represents that the bank card details provided are accurate and that the User is lawfully authorized to use the provided bank card.
5.4.
The general terms and conditions and privacy policy of the Stripe payment system are continuously available at https://stripe.com. The User represents that they have reviewed and accepted Stripe's general terms and conditions and privacy policy.
5.5.
The Licensor shall provide the User with an electronic invoice for the payment of the fee by email or through the User's account in the Software, provided that the User has supplied the relevant information on the Software's registration page.
6. Bug Reporting
6.1. Bug Reporting
If the User identifies an error in the Software, the User must report it to the Licensor promptly, but no later than 5 business days from the date of discovery. The User is liable for any damages resulting from delayed or unfounded reports.
Bug reports must be submitted by the User via email to: support@showmetheprofit.com
If the information provided in the report is insufficient to identify or correct the error, the Licensor shall request the necessary clarification from the User within 10 business days of receipt of the report. In such case, the deadline for correcting the error (Section 6.3) shall commence upon receipt of the clarifying information required to identify and correct the error.
6.2. Bug Fixes
The Licensor shall correct the error reported pursuant to Section 6.1 within 15 business days of receipt of the report, without causing significant inconvenience to the User. If the User will be prevented from using parts or functions of the Software unaffected by the reported error during the correction period, the Licensor shall notify the User by email of this fact and the extent and nature of the restriction.
If the error cannot foreseeably be corrected within the above deadline, the Licensor shall notify the User by email of this fact and the expected correction date, and shall correct the error by the indicated date.
Upon completion of the bug fix, the Licensor shall send the User an email notification. The User shall confirm the correction within 2 business days of receiving the notification, or, if the error persists, notify the Licensor in accordance with Section 6.1. If the User fails to meet this obligation within the deadline, the error shall be deemed corrected.
7. Limitation of Liability
7.1.
The parties agree that the User may only claim damages arising from a breach of this Agreement up to the amount of the monthly fee specified in Section 5.1. In the event of a breach of this Agreement or damages arising from the operation of the Software, the Licensor's liability shall not exceed this amount.
7.2.
The Licensor expressly excludes its liability in the following cases:
- For errors caused by circumstances beyond the Licensor's control and their consequences, including, without limitation, internet outages, other technical failures, downtime, security breaches of information systems, and errors or consequences caused by malware, programs, or viruses introduced by third parties.
- For damages resulting from the failure of a registration or order to be received due to any technical malfunction.
- For damages resulting from any hardware or software failure of the User's computer or electronic device, or from internet connection interruptions.
- For damages resulting from unauthorized use of the User's password or account, whether with or without the User's knowledge.
7.3.
The User is liable to the Licensor and third parties for any damages caused by unauthorized use of their password or account.
8. Termination of the Agreement
8.1. Licensor's Right to Withdraw and Terminate
If the User is more than 15 days late in paying the fee under Section 5.1, or any installment thereof if the fee is payable in installments, the Licensor is entitled to withdraw from the Agreement or to terminate it immediately, without cause.
8.2. User's Right of Withdrawal
If the User is a natural person who entered into this Agreement outside the scope of their profession, independent occupation, or business activity, and the agreement was concluded off-premises or between parties at a distance, the User is entitled to withdraw from the Agreement in writing, without stating reasons, within 14 days of entering into the Agreement.
8.3. Right of Immediate Termination
In the event of a material breach of contract by the other party, either party may terminate this Agreement with immediate effect by providing a written notice to the other party setting out the reasons for termination (with the exception that no statement of reasons is required for immediate termination by the Licensor under Section 8.1).
9. Governing Law
The parties agree that this Agreement shall be governed by the laws of the jurisdiction of the Licensor's registered address, and that any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the Licensor's registered address. The Licensor's registered address is: Largo, State of Florida, United States of America.
10. Final Provisions
10.1.
In exercising their rights and fulfilling their obligations under this Agreement, the parties shall communicate by electronic or written letter sent to the email address or postal address specified in this Agreement, or in any other verifiable manner.
10.2.
This Agreement shall not be filed or registered; it is entered into exclusively in electronic form, does not constitute a written contract, is drafted in both Hungarian and English, and does not refer to any code of conduct. This Agreement is continuously available and may be downloaded at https://showmetheprofit.com.
10.3.
The User confirms that they have read and understood this Agreement, accept its terms, and agree to be bound by it.
